Nomads Coworking Terms & Conditions

1.Acceptance of Terms

The services provided by Nomads Coworking (hereinafter referred to as “Nomads Coworking,” “NCS,” “We,” “Us, ” or “Our”) are subject to the following Terms and Conditions (“T&C”). By accessing or using our platform (“Platform”) and services, you (“User,” “Client,” “Member”) agree to comply with and be bound by these T&C. Nomads Coworking reserves the right to update these T&C at any time without prior notice. Continued use of the Platform after any changes constitutes acceptance of the new T&C. Nomads Coworking membership does not create a tenancy but prepaid usage license to use the provided amenities on a weekly, monthly or casual basis.

2.Description of Services

Our Platform allows you to browse, book, and purchase day passes, weekly passes, monthly memberships, or other access products for using our coworking space and facilities. These may include office space, workstations, Internet access, office equipment, conference rooms, knowledge resources, and other services. These services are subject to the T&C.

3.Memberships and Passes

  • Types of Memberships/Passes: The Platform offers various types of memberships and day passes. The terms, pricing, and conditions for each type are available on the Platform and may vary.
  • Booking and Purchase: All bookings and purchases made through the Platform are subject to availability and must be prepaid. Prices may change without notice.
  • Renewals: Memberships may automatically renew at the end of each period unless canceled before the renewal date. Both parties must consent to renewals.
  • Cancellations: Cancellation policies vary depending on the type of membership or pass and are detailed on the Platform. Please review these policies carefully before making a purchase.

4.Authorization for Charges

By saving a payment method on the Platform, you authorize us to charge your saved card for any fees related to the services you use, including membership fees, day pass fees, booking fees, and other services or products you purchase. This includes fees for any services used without prepayment and any applicable penalties for violations of the T&C.

5.No Tenancy

Membership or pass purchase grants you a prepaid usage license to use our coworking space and facilities on a weekly, monthly or casual basis. It does not create a lease or tenancy agreement. We reserve the right to revoke access for violations of the T&C.

6.No Unlawful or Prohibited Use

You warrant that you will not use the services for any purpose that is unlawful, prohibited, immoral, or unethical. You also warrant that you will not use the services in any manner that could damage, disable, overburden, or impair any Nomads Coworking facilities, or interfere with any other party’s use of such services. You will not attempt to gain unauthorized access to any services, accounts, systems, or networks connected to any Nomads Coworking network or any of the services through hacking, password mining, or any other means. You will not obtain or attempt to obtain any materials or information through any means not intentionally made available through the services you have opted for, nor should you post or download files that are illegal or that you have no rights to. You hereby represent and warrant that you have all required legal power and authority to enter into this contract and abide by the T&C, and no further authorization or approval is necessary. You further represent and warrant that your participation in or use of the services will not conflict with or result in any breach of any contract, license, agreement, or other instrument or obligation to which you are a party. Generally, you agree to use the Platform and our facilities lawfully, ethically, and in compliance with these T&C.

Prohibited conduct includes, but is not limited to:

  • Engaging in unlawful, harmful, or disruptive activities.
  • Damaging, disabling, or overloading our facilities or networks.
  • Interfering with other users’ access to the Platform or coworking space.
  • Attempting to gain unauthorized access to our systems or other users’ systems.
  • Harassing, abusing, harming, defaming, slandering, disparaging, intimidating or discriminating against others based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  • Submitting false or misleading information.
  • Using the Platform or its content for any unlawful, obscene, or immoral purpose.
  • Uploading or transmitting viruses or malicious code that will or may be used in any way that will affect the functionality or operation of the service or any related website, other websites, or the Internet.
  • Infringing or violate our intellectual property rights or the intellectual property rights of others.
  • To solicit others to perform or participate in any unlawful acts.
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
  • To collect or track the personal information of others.
  • To spam, phish, pharm, pretext, spider, crawl, or scrape.
  • For any obscene or immoral purpose.

We reserve the right to terminate your use of the service for violating any of the prohibited uses.

7.Confidentiality

Confidential Information includes, without limitation, information about business, sales, operations, know-how, trade secrets, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems, and/or books and records of Nomads Coworking, any analyses, compilations, studies, or other documents prepared by Nomads Coworking, or otherwise derived in any manner from the Confidential Information/

During your use of our services, you may be exposed to confidential information belonging to us or other users. You agree to:

  • Maintain the confidentiality of such information in strict confidence.
  • Not disclose confidential information to any third parties.
  • Use the confidential information solely for the purpose of using our services. Do not use the Confidential Information in any way that could be detrimental to Nomads Coworking or any participant or user of the Services.

All confidential information remains the sole and exclusive property of Nomads Coworking or the respective disclosing party.

8.Participation in or Use of Services

You acknowledge that you are participating in or using the services at your own free will and decision. You acknowledge that Nomads Coworking does not have any liability with respect to your access, participation in, or use of the services, or any loss of information resulting from such participation or use.

9.Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which details how we collect, use and protect your personal information. By using the Plarform, you consent to the practices described in the Privacy Policy.

10.Termination of Services

This Agreement may be terminated at the end of each period with the consent of both parties. We reserve the right to terminate or suspend your access to the Platform and/or our services at any time, without notice, for any reason, including but not limited to:

  • Breach of these T&C.
  • Non-payment of fees.
  • Engaging in prohibited conduct.

Upon termination, you must immediately cease all use of the Platform and our facilities. Any fees paid for unused periods will be refunded on a pro-rata basis after deducting any outstanding charges. Members may terminate this Agreement by giving written notice as established in this Agreement. Termination shall take effect at the end of the calendar month. Should the Member not provide timely notice of termination to Nomads Coworking, the Membership Period shall continue to the end of the following calendar month, and the service fees for that calendar month shall be payable.

11.Invoicing and Payment

The member is invoiced monthly in advance based on their membership. Payment shall be made on the 1st of each month in advance. In the event that you use any services without prepayment, Nomads Coworking reserves the right to charge your saved card for the applicable fees without prior notice. Additionally, Nomads Coworking reserves the right to disclose any information collected through your participation in and use of the services as necessary to satisfy any applicable law, regulation, legal process, or governmental request. Nomads Coworking also reserves the right to edit, refuse to post, or remove any information or materials, in whole or in part, at its sole discretion.

12.Authorization for Charges

By saving a card on the Nomads Coworking platform, you explicitly authorize Nomads Coworking to charge that card for any outstanding fees or unpaid services, including instances where you have used the coworking space without paying for a pass, ticket, fee, or entrance. This authorization includes the right to charge the card for any applicable penalties or charges resulting from your violation of the T&C.

13.Disclaimer of Warranties; Limitation of Liability

Nomads Coworking does not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the service will be accurate or reliable. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. To the fullest extent permitted by Cypriot law Nomads Coworking and its affiliates, directors, officers, employees, agents, contractors, interns, suppliers, service providers, or licensors shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the services or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

14.Exclusion of Incidental, Consequential, and Certain Other Damages

In no event shall Nomads Coworking or its subsidiaries, affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, jointly and individually, be liable for any direct, special, incidental, indirect, punitive, consequential, or other damages whatsoever (including, but not limited to, damages for loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of fault, tort (including negligence), strict liability, breach of contract, or breach of warranty of Nomads Coworking, and even if Nomads Coworking has been advised of the possibility of such damages.

15.Indemnification

You release, and hereby agree to indemnify, defend, and hold harmless [Coworking Space Name] and its subsidiaries, affiliates, divisions, and their officers, agents, shareholders, members, representatives, employees, successors, and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines, and penalties based upon or arising out of your negligent actions, errors, omissions, willful misconduct, or fraud in connection with your participation in or use of the Services. You further agree that in the event you bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorney fees and costs incurred by Nomads Coworking or its respective officers and agents in connection with the defense of such claim or lawsuit.

16.Non-Disparagement

You agree to refrain from making any defamatory or disparaging statements or comments about Nomads Coworking, its officers, directors, employees, personnel, agents, policies, services, or products, both during and after your participation in and use of the services, except as required by law.

17.Severability

If any provision of these T&C is found to be invalid, illegal, or unenforceable for any reason, in whole or in part, the remaining provisions of these T&C shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

16.Governing Law

These T&C shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. Any legal action or proceeding arising under these T&C shall be brought exclusively in the courts located in the Republic of Cyprus.

17.Entire Agreement

These T&C, together with the Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and Nomads Coworking concerning your use of the Platform and services.
